How Delaware apostilles work

Delaware's Division of Corporations issues apostilles for Delaware records and for documents signed by Delaware notaries and officials. For a corporate packet, that usually means certified copies of your charter documents and a certificate of good standing, ordered from Delaware and apostilled there. For countries outside the Hague Convention, Delaware issues a certification instead, followed by U.S. Department of State authentication and embassy legalization. We order the records, request the apostilles at the right service level for your deadline and combine them with your Massachusetts documents.

What to have ready

  • Your entity's exact Delaware name and file number, if you have it
  • The destination country and the receiving registry, bank or counterparty
  • Their document list, including long-form or short-form good standing
  • Which documents your officers will sign here
  • Your filing or closing date

Send what you have, and we'll map out both states.

The Massachusetts-Delaware split

Most venture-backed and many established companies are Delaware entities run from Massachusetts. That creates a split that trips up even experienced teams: records issued by Delaware, such as good standing certificates and certified charters, are apostilled by Delaware. Documents your officers sign and notarize here, such as board resolutions, secretary's certificates and powers of attorney, are apostilled by Massachusetts, because the apostille certifies the Massachusetts notary. Delaware won't authenticate documents notarized in another state. We handle both sides in one order, so the whole packet arrives together.

Mistakes that get Delaware apostilles rejected

  • Sending a Massachusetts-notarized document to Delaware. Delaware only authenticates Delaware notaries and officials. Documents notarized here go to the Massachusetts Secretary of the Commonwealth.
  • Remote or electronic notarizations. Delaware has said it won't accept documents notarized remotely or electronically for apostille.
  • One-cover certifications. Delaware says documents certified under a single cover certification aren't acceptable for an apostille. Order each document certified for apostille.
  • Foreign-language documents without a translation. Delaware asks for an English translation of documents in another language.
  • Unpaid franchise tax. Delaware won't issue a certificate of good standing for an entity that isn't in good standing.
  • Ordering too early. Many foreign offices want certificates issued within a few months of filing.
