What a Certificate of Good Standing is

A Certificate of Good Standing (sometimes called a certificate of existence) is issued by the state where a company is formed. It confirms the company exists and is current on its state filings. Foreign governments, banks and partners ask for one, usually issued recently and authenticated for their country. Because it's a state document, it's apostilled by the issuing state, and some countries need full embassy legalization.

  • Board resolutions and secretary's certificates
  • Powers of attorney for local representatives
  • Certificates of incumbency
  • Commercial invoices and certificates of origin

See Corporate Documents for notarizing your company's own documents.

Deadlines

Many countries want recently issued certificates. We time it so yours arrives current.

What we need from you

Your company's exact legal name, the state where it was formed, the destination country and what the documents are for. If your package includes company-signed documents, such as resolutions or powers of attorney, tell us who's signing and where. We'll map out which documents get a state apostille, which need notarizing first, and whether the country needs embassy legalization.

Situations we handle often

Opening a subsidiary

A foreign registry wants the parent company's good standing, articles and board resolution.

A bank account abroad

The bank asks for authenticated proof that the company exists and who can sign for it.

A government tender

Bid documents must include recent, legalized corporate records.

Appointing a local representative

A power of attorney goes with the good standing certificate so a local agent can act for the company.

Mistakes we help you avoid

  • A certificate from the wrong state. It must come from the state where the company was formed, not where it operates.
  • Certificates that expire before they arrive. Many recipients want a recent certificate. We time the order around your deadline.
  • A company not in good standing. If annual reports are overdue, the state may not issue the certificate. Check before you order.
  • Splitting the package. When documents from different states go to the same embassy, we coordinate them so they arrive together.

Official sources

We link to official sources so you can check the current rules yourself. Requirements change, and the receiving office always has the final word.

How long it takes

Ordering the certificate is often fast. Apostilles and especially embassy legalization take longer and vary by country. Share your deadline and we'll tell you what's realistic.

Delaware company?

Good standing certificates and certified charters for Delaware entities are apostilled by Delaware, while documents your officers sign in Massachusetts are apostilled here. We coordinate both. See Delaware Apostilles.

Frequently asked questions

Can you order a certificate for a Delaware company?

Yes, and for companies formed in any state.

How recent does the certificate need to be?

It depends on the recipient. Many ask for one issued within the last few months.

Do you also notarize board resolutions?

Yes, at your office or remotely coordinated with signers in different locations.

Which countries need legalization instead of an apostille?

Countries outside the Hague Convention, such as the UAE, Qatar and Kuwait. See Embassy Legalization.

Yes. Groups with multiple entities often send us everything together.

Do you work with in-house legal teams?

We notarize signers in Massachusetts and coordinate with trusted notaries elsewhere.
