One partner for every international document

Growing internationally means paperwork that U.S. teams rarely see at home: apostilled good standing certificates, notarized board consents, powers of attorney for local directors and authenticated tax residency certificates. Each document may come from a different state or federal office, and each foreign registry has its own list. We map every document to its route, notarize your officers at your office, file the apostilles and keep your team updated until everything is delivered.

What to have ready

  • The destination country and the registry, bank or counterparty
  • Your foreign counsel's document list
  • Your state of incorporation
  • Which officers will sign
  • Your filing or closing date

Send what you have, and we'll map out every step.

Delaware companies with Boston teams

Most venture-backed companies are Delaware corporations with their people in Massachusetts. That means one packet often needs Delaware apostilles for state records, Massachusetts apostilles for documents your officers sign here, federal authentication for IRS documents, and sometimes embassy legalization. We coordinate all of it, so your finance, legal and people teams have one place to send the list.

Mistakes that slow down a foreign setup

  • Signing documents before the notary arrives. The notary must witness or take the acknowledgment.
  • A board consent without a notarized officer certificate. Many foreign registries want the consent certified by an officer, notarized and apostilled.
  • Old good standing certificates. Order them close to filing.
  • Names that don't match. Directors' names should match passports and registry filings exactly.
  • Assuming an apostille works everywhere. Some markets, including several in the Gulf, need legalization.

Delaware company?
