How we handle a tax or VAT representative power of attorney
When a U.S. company registers for VAT or tax purposes in Europe, the representative it appoints must prove their authority to the tax office with a power of attorney the office will accept. We prepare that power of attorney and its supporting documents for submission: reviewed, notarized in the correct capacity, apostilled and delivered to your representative.
- 1
We review the representative’s instructions
Send us the power of attorney or engagement letter and the representative’s document list. We confirm the signer, the capacity, the language requirements and any supporting documents, such as a good standing certificate or a certified passport copy of the company’s legal representative.
- 2
We meet your signer
We come to your office anywhere in Greater Boston. The officer or manager signs in our presence, and multiple originals are prepared in the same visit when the representative needs them.
- 3
Notarized in the right capacity
Our certificate records that the officer signed on behalf of the company, using the representative-capacity wording Massachusetts requires for an apostille. Passport copies are certified from the original presented in person.
- 4
Apostilled for the destination
We file in person with the Massachusetts Secretary of the Commonwealth, typically within 1–2 business days. Spain, Italy and the other EU member states are all Hague Convention countries, so the apostille completes the authentication.
- 5
Delivered to your representative
Scans of the completed documents are emailed to you before they ship, so your representative can begin the filing. The originals go by tracked international courier to the representative or your adviser abroad.
When a company appoints a tax or VAT representative
A tax or VAT representative, often called a fiscal representative, acts for a foreign company before the local tax authority and in some countries shares liability for the tax. These are the situations that bring the appointment to us.
Registering for VAT in Europe
A U.S. company selling goods, holding inventory or supplying services in an EU country registers for VAT there.
Recovering VAT as a non-EU business
Claiming refunds of VAT paid on business expenses, which Spain, for example, requires to be filed through a representative established in Spain.
Clinical trials and regulatory activity
Pharmaceutical and biotech companies running studies or importing materials into Europe without a local entity.
Events, inventory and imports
Companies importing goods, storing stock or holding events abroad that trigger local VAT obligations.
Changing representatives
Moving to a new representative, which requires a new power of attorney and often a new engagement letter.
Supporting registration documents
Good standing certificates, charter documents and certified identity documents submitted with the appointment.
From our recent work
Each matter below came from a company we serve. Client details are kept confidential.
Spain: tax representation for a pharmaceutical company
A pharmaceutical company appointing a tax representative in Spain needed two documents apostilled for the Spanish filing. Each document received its own Massachusetts apostille, because an apostille is attached to a single document.
Italy: a fiscal representative engagement
A U.S. consulting company engaging a fiscal representative in Italy needed four apostilles: its operating agreement, a certificate of good standing, the signed fiscal representative engagement letter and a certified copy of its principal’s passport. The originals shipped with scans of every apostilled document enclosed for the client’s records.
Italy: a VAT representative appointment
A pharmaceutical company appointing a VAT representative in Italy had the appointment documents apostilled in Massachusetts for use in Italy.
An executive’s tax authorization
A biotech executive’s tax authorization for use abroad was apostilled together with a certified copy of the executive’s passport, since tax offices abroad often ask for proof of identity alongside an authorization.
Appointing a representative in Europe?
Send us the document and the representative’s instructions. We confirm what is needed before your signer’s time is booked.
Why EU countries require a local representative
EU VAT law allows member states to require a business established outside the EU to act through a local representative. Article 204 of the EU VAT Directive permits a member state to make a tax representative the person liable for payment of the VAT when a non-established business makes taxable supplies and there is no mutual assistance arrangement with the business’s home country (Council Directive 2006/112/EC). Because the representative may share liability for the tax, representatives are careful about the power of attorney and the evidence of the company’s existence and authority.
Each country applies these rules differently, and the details change. Your tax adviser in that country determines whether a representative is required and what the appointment must include. Our role is to make sure the documents they request are executed and authenticated so the tax office accepts them.
Spain: what the tax agency asks for
Spain’s tax agency, the Agencia Tributaria, sets out clear requirements for businesses established outside the EU that apply for VAT refunds. The application must be filed by a representative established in Spain, appointed by the applicant. The power of attorney must be an original executed before a notary, naming the representative and expressly including the power to file the refund application, Form 361, electronically (Agencia Tributaria).
Two further requirements are easy to miss. When the notary is not Spanish, the power of attorney must carry an apostille, or legalization for a non-Hague country. It must also be drawn up entirely in Spanish or translated by a sworn translator or interpreter. A U.S. certified translation does not substitute for a Spanish sworn translation, so many companies have their Spanish adviser prepare the power of attorney in Spanish, or in two columns, before the signing.
The refund application also requires a certificate from the tax authorities of the company’s country of establishment. Your tax adviser obtains that certificate; we authenticate the power of attorney and any notarized supporting documents.
Italy: the engagement letter and its supporting file
Italian fiscal representatives typically ask for more than a power of attorney. In the Italian matter described above, the representative required the company’s signed engagement letter, its operating agreement, a certificate of good standing and a certified copy of the passport of the person signing for the company, each apostilled.
These documents come from different sources and follow different routes. The engagement letter is signed before a Massachusetts notary and apostilled by Massachusetts. The certificate of good standing is issued and apostilled by the state of formation, which for many companies is Delaware. The operating agreement is usually certified by a manager or officer in a signed certificate. The passport copy is certified by the notary from the original. We coordinate all of them so the set arrives together. See certificates of good standing and Delaware apostilles.
Mistakes that delay a tax representative appointment
- A power of attorney without the specific powers. Tax offices may require particular powers to be stated expressly, such as filing a named form electronically. A general authority may not be enough.
- An English-only document where the local language is required. Spain, for example, requires Spanish or a sworn translation. Confirm before signing, because translating afterward can mean re-executing.
- The representative’s details incomplete. The representative’s full legal name and local tax identification number should appear exactly as the tax office records them.
- Notarial wording Massachusetts will not apostille. Templates drafted abroad often contain a notarial block that does not meet the Secretary of the Commonwealth’s requirements. We complete or attach the compliant Massachusetts certificate.
- Personal capacity where corporate capacity was needed. The certificate must show that the officer signed for the company, or the appointment may be read as personal.
- Supporting documents from the wrong state. A Delaware company’s good standing certificate needs a Delaware apostille, not a Massachusetts one.
- Passport copies made from scans. A certified copy must be made from the original passport presented to the notary.
- Too few originals. Representatives sometimes need one original for the tax office and one for their own file. Ask before the signing.
Working against a registration deadline?
Tell us the date. Massachusetts apostilles are typically issued within 1–2 business days of signing.
Who signs, and how the certificate reads
The power of attorney or engagement letter is signed by an officer or manager authorized to bind the company: commonly the CEO, CFO, general counsel or, for an LLC, a manager or managing member. The Massachusetts acknowledgment form in M.G.L. c. 222, § 15 records that the signer acted “as [title] for [company], a corporation or other entity,” as the voluntary act of the company.
Representatives sometimes also ask for proof that the signer holds that office. A board resolution or secretary’s certificate, or an incumbency certificate, can be authenticated with the power of attorney in the same visit.
When the signer is outside Massachusetts, the apostille comes from the state where the document is notarized. We coordinate a notary there and manage the authentication, so your team keeps one point of contact.
What to send us before the signing
- The power of attorney or engagement letter, in the language the tax office requires
- The representative’s document list and any instructions from your tax adviser abroad
- The company’s exact legal name and state of formation
- The signer’s name exactly as it appears on their government-issued photo ID, and their title
- The number of originals required, your deadline and the representative’s delivery address
We are notaries and document specialists, not tax advisers or attorneys. Your tax adviser decides whether a representative is required and what the appointment must say; we make sure the documents are executed and authenticated so the tax office accepts them.

Frequently asked questions
What is a VAT or fiscal representative?
A person or firm established in the country who acts for a foreign business before the tax authority, filing returns and, in some countries, sharing liability for the tax. Businesses established outside the EU are often required to appoint one.
Does a VAT representative power of attorney need an apostille?
Usually, when it is signed in the United States. Spain’s tax agency, for example, requires a power of attorney executed before a non-Spanish notary to carry an apostille. Massachusetts apostilles are typically issued within 1–2 business days of signing.
Does the power of attorney have to be in Spanish for Spain?
Spain’s tax agency requires the power of attorney for non-EU VAT refunds to be drawn up entirely in Spanish or translated by a sworn translator or interpreter. Many companies have their Spanish adviser prepare it in Spanish or in two columns before the signing.
Can a U.S. certified translation be used in Spain?
Not where a sworn translation is required. A Spanish sworn translator is appointed in Spain, and a U.S. certified translation does not substitute for one. We tell you plainly when this applies.
What else does an Italian fiscal representative typically ask for?
In our experience, an engagement letter signed by the company, the operating agreement or charter, a certificate of good standing and a certified copy of the signer’s passport, each apostilled. Your representative’s list governs.
Who should sign for the company?
An officer or manager authorized to bind the company, signing in that capacity. The Massachusetts certificate records that the signature was given on behalf of the company.
Our company is incorporated in Delaware. Does that matter?
For supporting documents, yes. A Delaware good standing certificate is apostilled by Delaware. A power of attorney your officer signs in Massachusetts is apostilled by Massachusetts. We coordinate both.
Can you certify a copy of the signer’s passport?
Yes. A Massachusetts notary can certify a copy made from the original passport presented in person, and the certified copy can be apostilled.
Can you send the documents directly to our representative abroad?
Yes. We email scans of the completed documents first, then ship the originals by tracked international courier to the representative or your adviser.
Do you advise on whether we need a tax representative?
No. We are notaries and document specialists, not tax advisers. Your tax adviser in the destination country determines that; we execute and authenticate the documents they request.
